Corporate Formation and Governance
One of the most significant ways we assist our clients with preparing a firm foundation for their future growth is by helping them select the correct business entity and by forming it properly. Many small businesses choose to cut corners in this area by using online services or legal document companies, only to discover that they may not enjoy the limited liability they expected due to the failure to observe critical corporate formalities during the formation process. For a reasonable flat fee, we help our clients select the appropriate business entity, handle the state filings and necessary document preparation, and walk alongside them through the various steps of forming their entity. We can also evaluate whether a business entity previously established by the owner or by a third party satisfies state law corporate formation and corporate governance requirements.
Examples of the services we provide in this area include:
Forming LLCs and general stock corporations (typically S-Corps)
Forming public benefit corporations/non-profits
Forming professional corporations (including professional medical corporations, professional law corporations, professional licensed clinical counselor corporations, etc.)
Updating corporate bylaws and operating agreements
Filing limited offering exemption notices (LOENs)
Correcting formation issues to the extent possible, including failure to properly issue stock, elect a board, elect officers, etc.
Converting one type of corporate entity into another
Registering out-of-state corporations
Dissolving or winding-up corporate entities
Attorney advertising. Prior results do not guarantee a similar outcome.
